1. Introduction

These Terms of Service ("Terms") govern your access to and use of the services provided by Yavio GmbH, Maria-Goeppert-Str. 1, 23562 Lübeck, Germany ("Yavio", "we", "us", "our") through yavio.ai and app.yavio.io (the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.

2. Eligibility

To use the Services, you must confirm that you:

• are at least 18 years old, and
• have the legal capacity to enter into a binding agreement.

3. Accounts

You must create an account to access certain features. You are responsible for:

• providing accurate information,
• keeping your credentials confidential, and
• all activity occurring under your account.

Notify us immediately of any unauthorized access.

4. Plans and Subscriptions

Yavio offers different subscription plans, including:

• Free Plan
• Pro Plan

Plan features, limits, and pricing are listed on the Site or within the application.

4.1 Billing and Renewal

• Paid plans renew automatically unless canceled before the renewal date.
• Fees are billed in advance for the applicable billing cycle.
• Fees are generally non refundable unless required by law.
• You authorize Yavio and its payment processor to charge applicable amounts.

4.2 Plan Changes

If you upgrade or downgrade your plan:

• changes may take effect immediately or at the next billing cycle as stated in the application,
• usage limits may adjust accordingly.

5. Credits

Yavio offers optional Credits, which allow you to use usage-based features. Credits may be consumed when Yavio Apps are executed or interacted with inside ChatGPT or other supported AI platforms.

5.1 Purchasing Credits

• Credits can be purchased at any time through the application.
• Credits have no monetary value, are non refundable, and cannot be redeemed or transferred.

5.2 Credit Usage

Credits may be consumed by:

• execution of Yavio Apps inside ChatGPT or other LLM interfaces,
• usage-based operations defined in the Platform.

Yavio may update which actions consume credits with reasonable notice.

5.3 Expiration

Credits do not expire unless:

• if specified at the time of purchase, or
• if your account is terminated for violation of these Terms.

Unused credits are not refunded.

6. Acceptable Use

You agree not to:

• reverse engineer or attempt to derive the source code,
• copy, modify, or redistribute the Services,
• use the Services to build or train a competing product,
• misuse AI Output to deceive or harm others,
• upload malware or harmful code,
• violate any laws or third party rights,
• interfere with the operation or security of the Services.

We may suspend or terminate your access if we believe you are violating these Terms.

7. AI Output

The Services use artificial intelligence to generate text, code, and other outputs ("AI Output").

You acknowledge that:

• AI Output may be incorrect, incomplete, or inappropriate,
• AI Output must be independently reviewed by you,
• AI Output does not constitute professional advice,
• you are responsible for any decisions or actions made using AI Output.

You use AI Output at your own risk.

8. Customer Data and Privacy

8.1 Customer Data

"Customer Data" means all content and data you submit or generate through the Services.

You retain ownership of Customer Data. You grant Yavio a non exclusive license to process, store, and use Customer Data as necessary to operate, maintain, and improve the Services.

8.2 Restrictions

Do not submit highly sensitive data such as:

• health information,
• financial account numbers,
• government identifiers,
• passwords or secrets not intended for storage.

8.3 Privacy Policy

Your personal data is processed in accordance with our Privacy Policy.

9. Service Availability and Changes

You acknowledge that:

• we do not guarantee uninterrupted availability,
• updates or maintenance may temporarily affect access,
• features may change or be removed with reasonable notice.

10. Intellectual Property

• Yavio owns all intellectual property rights in the Services and underlying technology.
• You own your Customer Data and your AI Output, subject to applicable third party rights.

If you provide feedback, you grant Yavio the right to use it without restriction.

11. Termination

You may close your account at any time.

We may suspend or terminate access if:

• you violate these Terms,
• your use poses a security, operational, or legal risk, or
• we discontinue the Services.

Upon termination:

• your license to use the Services ends,
• Customer Data may be deleted subject to legal retention obligations,
• unused credits are forfeited.

12. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.

We do not guarantee:

• uninterrupted availability,
• error free operation,
• accuracy or suitability of AI Output.

13. Limitation of Liability

To the maximum extent permitted by law:

• Yavio is not liable for indirect or consequential damages, including lost profits, data loss, or business interruption,
• Yavio's total liability for all claims is limited to the amount you paid in the twelve months before the claim.

Nothing in these Terms excludes liability where such exclusion would be unlawful.

14. Governing Law and Jurisdiction

These Terms are governed by German law.

Exclusive jurisdiction for disputes is Lübeck, Germany, unless otherwise required by law.

15. Changes to These Terms

We may update these Terms from time to time. If material changes occur, we will notify you by email or through the Services.

Continuing to use the Services after changes become effective means you accept the updated Terms.
