Zovo Cap Table Calculator
Zovo Cap Table Calculator is a cap table calculator, SAFE calculator and startup dilution calculator for founders raising money, inside the chat. Give your current holders (founders, granted options, the unallocated option pool, prior rounds) and the next event, and it returns the pro-forma cap table before and after with each holder's fully diluted ownership and dilution. It handles the instruments founders actually raise on: - Post-money SAFEs in the YC standard form, with a valuation cap, a percentage off the round's share value, or both, and MFN SAFEs - Pre-money SAFEs - Convertible notes with simple interest from the issue date to the conversion date, a cap and a percentage-off term - A priced round with a pre-money valuation, new money, several investors and a target option pool that is topped up in the pre-money (the option pool shuffle) For each SAFE and note it shows the per-share value at the cap, the per-share value after the percentage-off term, the conversion value it gets (the lower of the two) and the shares issued. The round's per-share value depends on the conversions and the pool top-up, which depend on that value; this circular system is solved with fraction math (no floating point), then rounded to whole shares at the end, and the method is stated in the result. A quick SAFE ownership check answers "how much of my company does this SAFE buy": investment divided by the post-money valuation cap, alone or combined with other SAFEs. You get an Excel cap table (before and after, conversions, summary) and a PDF summary, and the interactive view shows before and after ownership bars by holder or by group. Limitations: this is an illustrative model, not legal, tax or investment advice; the real SAFE, note and round documents govern. One priced round per call. Liquidation preferences, participation, anti-dilution adjustments, vesting and 409A valuations are not modeled. Note caps use the fully diluted shares before the round, excluding converting securities, and the pool target refers to the unallocated pool after the round; some documents define these differently.
